These Terms take effect for your business when you accept them in the app or continue to use the Service after the date we notify you.

This version is for customers of Grace Technology.

Grace Technology sells GateKipas in these countries: Cameroon, Gabon, Congo - Brazzaville, Chad, Central African Republic, and Equatorial Guinea. LawTekno LLC sells it in every other country.

Read the LawTekno LLC version

1. Agreement and who we are

These Terms of Service ("Terms") are an agreement between Grace Technology ("we", "us") and the business that creates or uses a GateKipas account ("you", the "customer"). They govern your access to and use of GateKipas, including the website, dashboard, kiosk, apps, portals and related services (the "Service"). By creating an account, accepting these Terms in the app or using the Service, you agree to them. If you do not agree, do not use the Service.

2. What GateKipas does

GateKipas is a cloud service for running a front desk and a workforce. Depending on the plan, edition and settings you choose, it can include visitor check-in, employee time and attendance, payroll figures, estate and residence management, church and congregation tools, school tools, events, contact management (CRM), messaging, and features that use artificial intelligence ("AI features"). The features, limits and prices of each plan, edition and add-on are described on our pricing and plan pages and in the app. We may add, change or remove features from time to time. Unless a signed order says otherwise, you buy the Service as it is offered when you subscribe, not any future feature.

3. Accounts and authority

You must give accurate and complete information when you register and keep it up to date. The person who creates the account or accepts these Terms confirms that they are at least 18 years old and have the authority to bind the business. You are responsible for your users, for keeping credentials, PINs and kiosk links confidential, and for everything done under your account. Tell us promptly at support@gatekipas.com if you suspect unauthorised use.

4. Free trial

We may offer a free trial for the length and within the limits shown on the pricing page. A trial is offered as is, without any commitment from us. At the end of the trial, use of the Service is limited until you subscribe. If you do not subscribe, we may delete the trial account and its data 30 days after the trial ends.

5. Licence and intellectual property

The Service, the GateKipas software, brand, designs and content are owned by LawTekno LLC and its licensors and are protected by intellectual property laws. Grace Technology sells the Service in Cameroon and the other CEMAC countries under a licence from LawTekno LLC. Subject to these Terms and to payment of the fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right for your users to use the Service for your internal business purposes during your subscription. You may not, and may not allow anyone to: copy, modify or create derivative works of the Service; reverse engineer, decompile or try to extract its source code, except to the extent the law expressly allows despite this restriction; sell, resell, rent or sublicense the Service; use it to build or benchmark a competing product; scrape or harvest data from it by automated means; or bypass its security, plan limits or usage controls. If you send us suggestions or feedback, we may use them freely, without any obligation to you.

6. Fees, billing and taxes

Fees. You pay the fees for the plans, editions, add-ons, messaging credits and Events purchases you choose, at the prices in FCFA shown on the pricing page or in the app when you buy. How you pay. You pay offline, in cash or by another offline method our team accepts. There is no card payment. Our team records each payment on your account and issues a receipt. Your plan is active for the period the payment covers. Term and renewal. Monthly or annual periods continue only if you renew them by paying for the next period before the current one ends. If you do not renew, access ends at the end of the period already paid. Taxes. Prices do not include taxes. You pay all taxes, duties and levies on your purchases, other than taxes on our income. If the law requires you to withhold any tax, you increase your payment so that we receive the full amount we would have received without the withholding. Refunds. Fees are non-refundable, including for partial periods and unused features, except where the law requires a refund. Messaging credits are non-refundable, have no cash value and are subject to the terms shown on the pricing page when you buy them. Late payment. If a payment is not made when due, we may suspend the Service after notice to the account email. Price changes. We may change prices. We will give at least 30 days of notice of a price change by email or in the app; a period already paid keeps the price paid. Coupons. Coupons and promotional offers are personal to the business, have no cash value, cannot be combined unless we say so, and may be revoked if obtained or used fraudulently. When a coupon ends, the account returns to the limits of its plan or trial unless you pay for a plan.

7. Your responsibilities and legal compliance

You decide how you use the Service and what information you put into it. You are solely responsible for your own compliance with the laws that apply to that use, including: - giving the notices and obtaining the consents the law requires from visitors, employees, residents and households, students and their parents or guardians, congregants, event attendees and contacts; - employment, wage-and-hour, time-keeping and payroll laws; - biometric privacy laws, including giving notice and obtaining consent before you enable device sign-in for employees; - children's and student privacy laws; - messaging laws and platform rules, including consent and opt-out requirements (for example the TCPA and CAN-SPAM in the United States, Meta's WhatsApp Business policies and local equivalents); - the accuracy, lawfulness and completeness of the information you and your users enter. The Service gives you tools; it does not decide for you what the law requires in your situation.

8. Acceptable use

You may use the Service only for lawful purposes. You may not: use it for an illegal, fraudulent or harmful purpose; store in custom fields or notes sensitive data the Service does not ask for, such as government identification numbers, financial account numbers or medical records; share kiosk links, PINs or credentials with unauthorised people; try to gain unauthorised access to the Service, other accounts or connected systems; interfere with or overload the Service; upload malicious code; or use the Service to harass, abuse or harm anyone. We may remove content or restrict features that break these rules.

9. Messaging

When you enable SMS, WhatsApp or phone alerts, you are the sender of your messages. You choose the recipients and the content, and you confirm that you hold every consent the law and the channel require and that you honour opt-outs. We may limit, suspend or stop messaging for your account, without liability, if we receive complaints, if we see a legal or policy risk, or if a messaging provider requires it.

10. Time, attendance and payroll figures

GateKipas calculates hours, overtime and payroll figures from your settings and from the entries made by you, your users and your employees. We are not a payroll provider and we do not give tax, legal or accounting advice. You must review and approve every figure before you pay anyone, and you are responsible for your pay, tax and employment decisions.

11. Not a security or safety system

GateKipas is not a security, access-control, life-safety, emergency or surveillance system. This applies to every part of the Service, including the kiosk, the estate gate desk, guest passes, banned lists, phone alerts, emergency rosters and school release and pickup records. Information in the Service depends on what people enter and when; alerts and messages may be delayed or may fail. You must keep your own security, safety, emergency and child-release procedures and must not rely on the Service alone to protect people or property.

12. AI features

AI features produce suggestions, summaries and other outputs that may be inaccurate, incomplete or out of date. Outputs are for information only. You must review an output before you act on it. GateKipas does not make any automated decision that produces legal or similarly significant effects on a person; any such decision is yours.

13. Device sign-in

Where you enable device sign-in for employees, the fingerprint or face check happens on the employee's own device. GateKipas receives and stores only the credential identifier, the public key, technical details of the device and the consent record; it never receives or stores a fingerprint, a face image or face geometry. You are responsible for the notices and consents described in "Your responsibilities and legal compliance".

14. Your data

You keep your rights in the data you and your users put into the Service ("Customer Data"). You grant us the rights we need to host, process, transmit and display Customer Data to provide, secure and support the Service and as described in our Privacy Policy. We do not use Customer Data to advertise GateKipas and we do not sell it. Administrators can export business data from the Service or ask support@gatekipas.com. Some records must be kept for security, billing, audit, dispute or legal reasons, and deleted data may remain in backups and logs until their normal deletion cycles.

15. Third-party services

The Service relies on third-party services, including Stripe, Meta (WhatsApp), Twilio, Resend, Supabase, Vercel, Anthropic and Google. Their own terms apply to their part of the service. We are not responsible for their acts, omissions or outages, or for any third-party service you choose to connect.

16. Service availability

We use reasonable efforts to keep the Service available, but we do not promise that it will be uninterrupted, timely or error-free. The Service may be unavailable for maintenance, updates or reasons beyond our control. No service credits apply unless a signed order provides them.

17. Disclaimer and limitation of liability

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. To the extent the law allows: - neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility; - we are not liable for the accuracy of Customer Data, for third-party services, or for a security incident not caused by our breach of these Terms; - our total liability for all claims relating to the Service or these Terms is limited to the fees you actually paid us for the Service in the 12 months before the event giving rise to the claim; - any claim must be brought within one year after the event giving rise to it. These limits do not apply to your payment obligations, your indemnity obligations or your breach of the licence restrictions.

18. Indemnity

You will defend, indemnify and hold harmless Grace Technology, its affiliates and their officers, employees and agents against any claim, loss, liability, fine and expense (including reasonable legal fees) arising from Customer Data, the conduct of your users, your breach of these Terms or your breach of the law, including claims about messaging, biometric, employment, payroll and privacy. For this section, LawTekno LLC and Grace Technology are each other's affiliates.

19. Suspension and termination

We may suspend the Service immediately for non-payment after notice, a security risk, a legal demand, or abuse or a breach of these Terms, and we may terminate your account for a material breach that you do not cure after notice. You may stop at any time by not renewing or by contacting support; access continues until the end of the period already paid. After termination, an administrator may ask for an export of business data within 30 days. After those 30 days we may delete account data, subject to legal holds and normal backup cycles. Sections that by their nature should survive termination survive it, including fees owed, licence restrictions, disclaimers, limitation of liability, indemnity and disputes.

20. Changes to these Terms

We may update these Terms. We will notify material changes by email or in the app at least 30 days before they take effect, or earlier where the law requires. Continued use of the Service after the effective date means you accept the updated Terms. The app may ask an administrator to accept the updated Terms before continuing. If you do not agree, you must stop using the Service before the changes take effect.

21. Governing law and disputes

Governing law. These Terms are governed by the laws of the Republic of Cameroon and the Uniform Acts of the Organisation for the Harmonisation of Business Law in Africa (OHADA). Arbitration. Any dispute arising out of or relating to these Terms or the Service will be finally settled by arbitration under the Arbitration Rules of the Common Court of Justice and Arbitration (CCJA) of OHADA, seated in Douala, Cameroon, in French. Exceptions. Either party may apply to the competent courts of Douala for urgent or interim measures. We may also recover unpaid fees before the competent courts of Douala, including through the OHADA simplified debt-recovery procedure.

22. General terms

Assignment. We may assign these Terms to an affiliate or to a successor in a merger, acquisition or sale of assets without your consent. You may not assign them without our written consent. Entire agreement and order of precedence. These Terms, the documents they refer to and any signed order are the entire agreement on their subject. If they conflict, a signed order prevails over these Terms, and these Terms prevail over our policies. Severability and waiver. If a provision is unenforceable, it is limited to the minimum extent necessary and the rest remains in force. Not enforcing a provision is not a waiver. Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, other than payment obligations. Notices. We send notices to the account email or in the app. You send notices to support@gatekipas.com. Independent parties. The parties are independent contractors. Publicity. We may name your business and show its logo as a GateKipas customer, unless you opt out by email to support@gatekipas.com. Export controls and sanctions. You may not use the Service in breach of export-control or sanctions laws, or from a country or by a person subject to sanctions. Language. These Terms are published in French and English. The French version controls.
